Vice President - Legal and General Counsel The candidate will works closely with the regional president, the regional management team, and local county management of Volvo Financial Services Region the Americas and global legal and compliance leadership of VFS. Have responsibility for all of the legal affairs of the region and the management of the regional legal and regulatory compliance department. The scope of responsibility includes oversight of legal processes,compliance and coordination with market legal and regulatory compliance teams throughout the United States, Canada, Brazil, Mexico, Chile & Peru. As part of a fast paced, cross functional team in a global matrix organization this position should be held by an expert in providing documentation and transactional structure legal advice as well as accurate and timely legal assessments of regulatory developments, risk exposure, strategic value, and impact on business operations to enable the business to make the best decisions under rapidly changing circumstances. Responsibilities: Serves as Chief legal advisor for all legal and regulatory compliance matters in VFS Region the Americas, including operations in the USA, Canada, Mexico, Brazil, Chile and Peru. Leadership of regional legal and regulatory compliance department and management of external counsel; Responsible for VFS Region Americas reporting to VFS Global and AB Volvo, as well as VFS Global legal initiatives. Leadership of the legal compliance and training function, including oversight of, data privacy, anti-money laundering, anti-corruption & anti-competition training, annual employee acknowledgments as well as other related compliance issues. Lending and leasing license/regulatory matters throughout the Americas, including “non-bank” banks, insurance products and brokers, rental and full servicing leasing companies, charge cards, and other commercial finance products. Ensuring compliance with country financial services and regulated bank requirements. Provides legal advice and strategic support regarding new market entry and new product development, including service products. Coordination of complex large ticket commercial litigation, including bankruptcies. Overseeing legal support of retail and wholesale transactions and product and policy development in commercial truck, tractor, trailer, construction equipment, bus, motor home and other specialized transportation financing. Oversees legal requirements related to all regional capital markets activities, including asset-backed securitizations, syndications, and participations. General legal matters such as human resources legal support; corporate contract negotiation, documentation, and maintenance; policy development and administration; and corporate and contingent liability insurance programs. Special projects as directed by the regional president.

Qualification and Experience

The candidate should have JD degree (Doctor of Jurisprudence) from an ABA accredited school. Currently licensed for the active practice of law and in good standing with at least one state. Eligible for admission to NC Bar desired. Should have 10+ years of progressive management experience in a multi-national, multi-cultural financial services company of comparable size and complexity as VFS, preferably with a manufacturing captive. Substantial demonstrated knowledge and experience in the direction of the regulation compliance function of, and the legal services required by, a multi-national, multi-cultural commercial financial services company specializing in the transportation industry. Substantial experience in legal department management and budgeting. Substantial experience in negotiating and documenting middle market and large ticket transactions and restructurings as well as leading large and complex bankruptcy and repossession legal activities. Substantial experience in data privacy, OFAC, and FCPA. Significant experience in legal requirements and structuring in capital markets, including on & off balance products. Management, supervision, budgeting and direction of internal attorneys and compliance staff, as well as of external attorneys representing the Company. Ability to provide leadership in role planning, restructuring, and executing new processes. Competent in establishing and maintaining a work ethic at VFS that serves as a role model for values as well as embedding compliance and legal knowledge within the business. Strong verbal communication and interpersonal skills to build effective customer (internal and external) relationships. Excellent interpersonal and communication skills (oral and written) with all levels of staff, including senior executives at the Company and at related/sister companies. Proficiency in English is required. Additional language skills in Spanish and/or Portuguese are desirable. Knowledge of IFRS is recommended. MS Office and Word proficiency is required.
