Senior Corporate Counsel Duties: Assist the VP, Legal and others within the Legal Department in support of the Company’s domestic and international vendor and sales (both direct and indirect) contracts, M&A and other strategic transactions, SEC reporting and corporate governance matters, intellectual property planning and management, and immigration. Understand the intricacies of the Company business model and strategic objectives and how they should be represented in customer and vendor contracts; Effectively structure, draft and negotiate complex commercial and vendor agreements, including distribution, international direct sales, licensing and other contracts; Provide guidance and assistance to internal departments such as Human Resources, Marketing, Manufacturing, Facilities, Quality, etc., on legal matters, as applicable; Provide support on corporate financing (debt and equity) and M&A activities, including due diligence and post-closing integration; Mentor others in Legal Department who operate in an intensive and time-sensitive environment; Support corporate governance, compliance and best practices; Provide support to VP, Legal with SEC filings, including Forms 8-K, 10-Q, 10-K, S-8 and proxy statements.

Qualification and Experience

Qualifications: Show completion of a JD Degree from an accredited law school and be licensed to practice law in the U.S. 5+ years’ experience in a large law firm or in-house public or private company having substantial domestic and international operations. Work experience in providing support to VP in Legal SEC filings, including Forms 8-K, 10-Q, 10-K, S-8 and proxy statements preferred. Experience drafting and negotiating a wide variety of commercial agreements; Ability to draft, negotiate and manage domestic sales and vendor contracts; Ability to absorb and interpret regulatory requirements; Ability to work within and leverage cross-functional teams, and be persuasive up, down and across the organization; Ability to work proactively, collaboratively and persuasively with internal and external clients to solve problems while protecting company interests; Ability to analyze complex facts and legal concepts accurately and timely, and then develop appropriate recommendations within a business solution context; Proven track record of excellent judgment and problem solving skills; Attention to detail and the ability to multi-task, and work under time pressure; Proven communication skills - written, oral and presentation; and Demonstrated courage to do what is right, champion good ideas, make tough decisions and take unpopular stand if required.
