ProfileCounsel, Commercial The candidate will negotiate directly with the senior business and legal officers of a very wide variety of customers throughout the public and private sector. Will interact with senior executives from a variety of disciplines such as sales, finance, engineering and HR. Deal with diverse issues such as revenue recognition, global privacy and protection of highly valuable intellectual property. Structure, review and negotiate commercial software agreements including on premise, cloud, subscription and SaaS, service agreements and procurement contracts. Manage risk and ensure business and compliance needs are accurately reflected in agreements. Respond promptly to the demands of a growing and very active technology sales team and their management.
Qualification and Experience
The candidate should have a J.D. degree from an accredited major law school. Must have 5+ years of experience with some in house commercial licensing/subscription experience preferred. Significant experience drafting, reviewing and negotiating complex software agreements is required. Should have experience negotiating complex software license and related agreements with major enterprise customers, SMB's and government agencies. Should also have experience migrating companies from standard licensing model to a subscription\ SaaS based model. Significant experience relating to SaaS centric issues, i.e., privacy, security, HIPAA, etc. is needed. Must have experience in working closely with a field sales team. Few years of in-house experience at a major cloud technology vendor is preferred.
