Corporate Counsel The candidate will provide general legal advice to various Ascend Learning, LLC businesses, with primary focus on drafting and negotiation of a wide variety of commercial agreements, such as customer contracts, MOUs, publishing agreements, NDAs, reseller and partnership agreements, as well as assisting senior members of the Legal Department, as needed. Responsible for providing legal counsel to broad range of internal clients on issues related to contract interpretation, privacy, intellectual property, risk mitigation, government contracts, and related requirements. Will work closely with Sales, Finance, Editorial, Product Management, and other company functions, conducting legal analysis and providing legal advice concerning to day-to-day business operations. Involves handling ongoing responsibilities as well as project-based work within the Legal Department.

Qualification and Experience

Requirements: JD Degree from ABA accredited law school and current member of Massachusetts Bar in good standing. 5+ years of relevant commercial legal experience. Mix of in-house and law firm experience a plus. Solid understanding of basic intellectual property and commercial law; experience with education and publishing issues, copyright, government contracts, and data privacy (FERPA; HIPAA) a plus. Must have significant experience and demonstrated track record of effective drafting and negotiation of commercial agreements. Ability to apply legal concepts and practical judgment to dynamic business needs. Must be able to manage conflicting priorities in fast-paced environment, and work independently on a wide range of issues and projects, while delivering high-quality work under a tight timeline. Strong interpersonal skills with ability to effectively communicate with all levels of personnel and management. Successful candidate must be solutions-oriented, hard working, and enjoy collaboration in a team environment. Strong written and oral communication are essential. High energy level and high degree of self-motivation, with a sense of urgency to achieve stated business goals.
