Associate Attorney The candidate, as a member of the US Business Law team, supports more senior attorneys in providing legal advice and counsel on issues related to company products, services and business relationships. Provides support to Regional Counsel - which support the healthcare sales, underwriting and provider contracting organizations in specific states - on the US Business Law team, including: conducting legal research as requested by a senior attorney; negotiating administrative services agreements with self-insured (ASO) clients; negotiating participating provider agreements; participating in appeals of participating provider contract terminations; negotiating business associate agreements; negotiating non-disclosure agreements; drafting unique client agreements; and supporting Compliance in connection with regulatory issues affecting company's healthcare products and services. Obtains and leverages a deep understanding of company's Pharmacy and Behavioral businesses to identify legal issues, propose solutions and mitigate risk to the company. Works collaboratively with Regulatory Compliance, company Pharmacy Management and company Behavioral colleagues, and others within company Legal to advance the company's objectives for its Pharmacy and Behavioral businesses. Conducts legal research into state/federal laws and regulations affecting specific Pharmacy or Behavioral product initiatives or service model, as requested and overseen by a more senior Pharmacy/Behavioral attorney. Provides support for strategic Behavioral or Pharmacy initiatives developed by the business (e.g. product/sales pilot programs, product implementation), and as overseen by a more senior attorney. This support will entail, as appropriate, analyzing the risks of potential product offerings or other initiatives, helping colleagues and business partners identify solutions to those risks, and providing strategic legal support throughout implementation of the product (e.g. helping the business and Compliance respond to regulatory objections made in connection with a product filing). Support for data-sharing issues affecting Pharmacy and Behavioral businesses, such as reviewing and negotiating non-disclosure agreements that govern the use of pharmacy or behavioral data. Supports drafting/negotiating Agreements that focus on providing pharmacy benefit management services. Provides support to Behavioral attorneys for questions about, or analyses of, Mental Health Parity laws in the context of benefit plan design and utilization management activities. Works collaboratively with other attorneys, Regulatory Compliance, others within company Legal, and clients and keep his/her manager and key colleagues in Legal apprised of significant matters. Deals directly with company business clients as well as with external clients and their representatives (e.g., brokers and lawyers), and potentially state regulatory agencies. Should have J.D. degree from accredited law school and Bar membership. Must have 0-2 years of experience with firm or in-house. Knowledge of company's products/services and healthcare industry a plus.
