Corporate Counsel- Real Estate The candidate will be reporting to the Chief Financial Officer. Responsible for processing/reviewing insurance claims, demand letters, and situational circumstances that arise on the property level to determine potential liability and risk. Review and renew various contracts on behalf of the company. Research and analyze statutes and case law regarding contract issues, ADA, Fair Housing, and landlord/tenant questions that arise during the course of business practice. Exhibits strong commitment to the service needs of the internal and external customer. Represents the company in a professional and courteous manner. Advises management in the company and works alongside employees in all departments throughout the company, third parties, vendors, and outside legal team. Researches and examines state and federal laws, statutes and case law to address unique legal issues and situational concerns that arise. Advises proper parties on options to handle situation, contract status, legal risks and business terms of various deals to ensure legal objectives are met. Provides assistance with outside counsel team in the handling of lawsuits or other issues that arise. Evaluates current and future BH policies for legal liability issues and effectively communicates potential company liability to all necessary parties. Keep abreast of legislative changes that may affect the company and its affiliates. Creates waivers, forms, and negotiates contract language or settlement agreements for various situations that arise on properties or at the corporate office. Prepares BH Property Management Agreements, analyzes and edits third party management agreements for potential liability and legal issues. Assists with contract terminations on property dispositions. Reviews construction contracts to ensure compliance with BH Construction Standards and to determine potential liability issues. Analyzes proposed contracts or documents with third parties to identify and mitigate any potential liability and/or claims. Reviews in place long-term contracts on acquisitions and evaluates whether to terminate, restructure or assume the contracts. Reviews and tracks incident reports to determine if there is a potential claim or liability and works closely with insurance broker on General Liability and Property Damage incidents. Maintains active involvement in the insurance process and follows up with carriers and stakeholders to ensure timely claims processing. Prepares filings for fictitious names, name changes, contract reviews and trademark searches in accordance with each state's guidelines. Oversees state broker requirements and manages broker relationships for compliance with applicable laws. Gathers and analyzes date from each property to determine licensing needs including but not limited to property licenses, music licensing, occupational and tax licensing, business licensing, municipal/county/state licensing, motion picture licensing, etc. Other duties as assigned.
Qualification and Experience
The candidate should have Juris Doctorate Degree. Member of a state Bar association, with a license in good standing, preferred. Legal knowledge and experience in the areas of Contracts, Employment, and Taxation preferred. Contract negotiating and management skills/experience. Legal research and strong written communication skills required. Knowledge of ADA and Fair Housing laws preferred. Strong organizational and communication skills and strong organizational and analytical skills – detail oriented. Ability to prepare presentation material and speak in front of large groups of people. Analyze data, review industry trends, and make recommendations.
