Assistant Group General Counsel The candidate will identify legal risks and assist the group in mitigating such risks. Key responsibilities in this role include working closely with Group General Counsel to advise and counsel business unit leadership teams on broad range of commercial, compliance and regulatory matters. Take lead role in counseling specific business units on all legal matters, under supervision of Group General Counsel. Work closely with Group General Counsel and business unit leadership teams on broad range of commercial, compliance and regulatory matters, including commercial transactions for both sales and procurement, antitrust compliance including distribution and sales representation, advertising and marketing compliance, warranty compliance including Magnuson-Moss, finance, employment, intellectual property, technology, EH&S, import/export, and mergers and acquisitions and participates in negotiating and drafting the necessary documents. Develop and implement training programs to educate and counsel business unit leadership teams in commercial, compliance and regulatory matters. As directed by the Group General Counsel, support business unit dispute prevention and resolution, including (i) gathering facts to assess potential liabilities, (ii) conducting legal and factual research, (iii) interviewing clients and witnesses, (iv) participating in the development of strategy and (v) implementing strategy to assist business units in achieving satisfactory resolution of disputes without litigation through preparation of correspondence and position statements. As directed by the Group General Counsel, support business unit litigation, including (i) gathering evidence to initiate legal action or to formulate defense, (ii) conducting legal and factual research, (iii) interviewing clients and witnesses, (iv) assisting with discovery, including document and electronic record production, (v) participating in the development of strategy, arguments and testimony, and (vi) handling other details in preparation for trial. Provide immediate answers to questions based on knowledge and experience without researching the law. Interpret laws, rulings, and regulations for individuals, division and business units. Confer with colleagues with specialty in practice area necessary to render advice to division leadership teams. Counsel division leadership teams on basic matters of employment law and intellectual property. Counsel business units with regard to corporate policies and legal compliance and their impact on commercial transactions and general conduct of business. Prepare business contracts, settle labor disputes, and administer other legal matters. As directed by the Group General Counsel, supports business unit acquisition and divestiture activities, including preparing for and participating in due diligence reviews. Bachelor’s degree required. Juris Doctorate Degree required. 5 – 8 years of progressively more responsible experience with corporate, commercial and litigation practice areas in a corporate environment required. Working knowledge of laws and regulations impacting the corporation required. Strong analytical skills required. Ability: to communicate effectively both verbally and in writing within all levels of the corporation; to utilize creative problem resolution skills to handle client related or employee related problems; to be forward thinking and handle frequently changing demands required.
