Deputy General Counsel The candidate will play a key role on the executive management team and as Assistant Corporate Secretary. Will assist with corporate governance, advise on securities laws and reporting/disclosure obligations, negotiate and support corporate M&A transactions, manage litigation and participate in other duties that support the operations of the Legal department. Provide guidance and support on the operational functions and budget of the Legal department. Provide corporate governance advice and support, including Board meeting preparation, drafting minutes of Board and committee meetings, maintaining and following regular governance calendar, drafting resolutions, and managing governance of corporate subsidiaries. Manage the legal aspects of special transactions including acquisitions, divestitures, equity investments, strategic alliances, financings and joint ventures. Assist with the review and drafting of SEC filings including Forms 10-Q, 10-K and 8-K, annual proxy statements and Section 16 reporting. Assist with litigation management and support. Manage discovery process, document holds, support outside counsel and provide input on pleadings. Manage intellectual property portfolio, including support on preparation of trademark, copyright and patent registrations, counseling staff on proper use of third party intellectual property, and advising on potential infringement of the company's intellectual property. Support to Human Resources regarding employment-related issues and working with employment counsel. Independently initiate projects and identify ways to improve the Legal department's processes and operations. Supervise reports to the General Counsel and supervisory responsibilities span the department. Should be a licensed attorney from an accredited law school with good credentials and stable work history. Must have 15+ years of experience, including 4+ years of in-house experience. Education and charter school experience preferred. Should preferably also have a broad base of legal and regulatory experience, as well as interacting with public company Boards of Directors and members of executive management.
