ProfileIP/Corporate Counsel Duties: Supports all levels of a multi-national organization and is responsible for managing all aspects of the company’s IP needs including managing the U.S. and foreign patent dockets, analyzing prior art, and conducting patentability and patent landscape searches as well as managing complex commercial transactions. Coordinate and manage U.S. and foreign patent prosecution, analyze prior art, conduct patentability and patent landscape searches, review and analyze results. Review, draft, and negotiate various commercial agreements, including master services agreements, supply agreements, and license agreements. Support General Counsel and assist the Company’s efforts on all corporate and strategic transactions, including transaction-related due diligence processes. Analyze and interpret laws, statutes and regulations, and identify areas of compliance, as well as potential vulnerability and risk; partner with the appropriate business unit(s) and/or operations in order to develop and implement appropriate action plans. Assist in FDA and regulatory compliance matters. Assist with SEC compliance and reporting. Assist with general litigation. Performs additional tasks as requested by the General Counsel and other corporate officers, and provide other legal advice and services as the legal needs of the organization arise.
Qualification and Experience
Qualifications: B.A. or B.S. from a 4-year college or university of recognized standing, chemistry degree preferred. JD Degree from an ABA accredited, prominent, national law school. Admitted to practice law before a state bar. 3-5 years of progressive experience in a recognized law firm or Corporate law department. Experience working with multinational companies and clients. Strong IP background and willingness to broaden skill set in traditional corporate areas. Strong negotiating and drafting skills. Excellent communication and organizational skills with the ability to assume independent responsibility. The ability to provide timely advice, exercise good judgment and work confidently with internal and external stakeholders and all levels of management.
