Corporate Counsel II The candidate will: Draft, review and negotiate a wide range of commercial agreements. Transactions will involve large and complex sourcing deals from domestic and international suppliers with a primary focus on information technology agreements. Draft legal, business, and operational terms for our supplier agreements to address business need and legal risk. Work closely with our internal clients to make sure the contract accurately and adequately captures the parties’ intentions and understandings. Communicate legal risks effectively to internal business clients. Make appropriate decisions considering the relative costs, risks, and benefits of potential transactions. Demonstrate excellent business judgment and an ability to work closely with a variety of business groups to deliver timely legal advice and drive practical business solutions. Work independently with close attention to detail, strong organization skills, and project management. Exhibit exceptional interpersonal, communication, and negotiation skills to support collaboration in a team environment. Show strong leadership in driving a contract process that is subject to multiple, sometimes conflicting, priorities. Provide prompt, practical, and decisive legal advice and support to internal and external clients.
Qualification and Experience
The candidate should have Law degree from an accredited institution. Licensed to practice in a minimum of one state in the US, preferably Texas, New York, Delaware, or California. Should have 2-4 years legal experience, with an emphasis on commercial transactions and preferably technology transactions. Knowledge of data privacy laws, HIPAA, and PCI preferred. Knowledge of trademark law preferred. Spanish bilingual preferred.
