Counsel, US Business Law - Collaborative Care The candidate will provide advice and counsel to company's US Commercial business on issues related to company products, programs, services and business relationships. Will provide timely, practical and creative legal advice and business counsel in areas of responsibility and ensuring compliance with legal requirements, minimizing enterprise risk, and protecting company's reputation. Provide counsel for the fee-for-value programs, including, program development, creation and maintenance of standard contracting documents and negotiation support. Work with the compliance team, ensure fee-for-value programs comply with federal and state laws, including privacy, ERISA, and state managed care laws. Support sales including negotiation of ASO agreements, NDA's, BAAs, issue resolution. Work with the compliance team to respond to regulatory inquiries and complaints. Support contracting through negotiation of provider contracts, and provider issue resolution. Resolve disputes with goal to achieve best business result. Manage projects, drive tasks to conclusion and execute effectively alongside knowledgeable, experienced internal clients. Occasionally, engage and manage outside counsel and interact with regulators. Work collaboratively and build relationships with members of the Legal department across multiple business areas. Should have a J.D. degree from accredited law school and Bar membership. Must have 5+ years of corporate legal department or law firm experience. Experience in managed care contracting strongly preferred. Clinical experience a plus. Broad knowledge of the health care and insurance industries an asset.
