Product Attorney The candidate will report to a Director (Commercial), Legal, and will work closely with the rest of the legal team based in London, Colorado, New York, and Singapore. Will support one of the Firm’s largest product divisions: the Financial Markets Technologies division. Will work in a fast-paced environment, handling negotiations, drafting and advising on new product initiatives, strategies, service operating procedures, licensing and distribution agreements, partnership agreements and commercial contracts. Will be tasked to develop the specific expertise (aided by legal and product training in an on-the-job environment) needed to become primary subject matter expert for the syndicated leveraged loan market and the broad array of products provides to institutional sell-side and buy-side participants in that market. The products include enterprise solutions (software), services (loan settlement, portfolio loan tracking and management), and data. Will have extensive interactions with internal personnel (product specialists, sales representatives, client managers, IT specialists, etc.), and most importantly, with counsel representing customers and prospects. Will be expected to have the skills, maturity and confidence to negotiate with experienced counsel for the world’s premier financial institutions. Will be to support both new deal flow and existing client relationships in the Americas, Will liaise with fellow lawyers supporting similar activity in the EMEA and APAC regions. Assisting sales personnel in structuring proposals and advising on product development and modifications. Will generate, maintain and continually improve product templates. Will support, and its customers run the gamut from the biggest investment banks and asset managers to startup hedge funds. Will include functioning independently and with the support of colleagues as a legal advisor on: Commercial and product-related legal issues including licensing, IP, technology development and support, and general commercial contractual issues – in particular in Financial Markets division. Developing expertise in a range of products and building strong relationships with business clients in various global offices. Negotiating contracts with clients; technology, data and distribution partners; and strategic alliance partners, including drafting and negotiating bespoke contracts. Analyzing, evaluating and providing input to new product and new client proposals with a view to identifying and highlighting possible business and legal risks to management. Drafting and maintaining template agreements. Presenting to sales and product team partners and escalating issues on a timely basis.
Qualification and Experience
Qualifications: Qualified lawyer. Strong academic credentials with a degree from a university and legal qualification from a law school. 3-5 years’ experience, either as in-house counsel or in private practice. Corporate or commercial lawyer, with strong technological and financial acumen. Legal experience in negotiating and drafting commercial and other business to business technology and information related contracts. Experience in managing projects, communicating with managers and colleagues both verbally and in writing. Experience in financial services (specifically loans and loans processing) is an asset. Proven ability to work across a range of commercial transactions simultaneously. Knowledge in commercial contract law required. Knowledge of financial services industry (in specific loans and loans processing) a plus. Excellent written and verbal communication skills. Excellent relationship management, project management and influencing skills. Ability to work in a dynamic, matrix management work environment. Proven ability to communicate professionally to all levels, create presentations and management briefs. Ability to anticipate potential problems and respond effectively. Excellent investigative, analytical, problem-solving and strategic skills. Proven ability to drive results through others not in reporting chain and to thrive in a matrix management environment.
