Assistant / Associate General Counsel The candidate will report to the General Counsel. Will assist in protecting company legal interests and maintaining its operation within the scope established by law. Identify and analyze legal issues and for leading complex legal matters and contract negotiations for company. Perform a variety of complicated tasks. Negotiate and advise on contracts, new business models and partnerships, legal risks and other company-related transactions and represents company' legal position in such areas. Support internal business clients on developing solutions to complex legal issues with an understanding of company' social mission. Responsible for ensuring legal risks are addressed and mitigation solutions developed. Provide support to the General Counsel on general legal matters. Help develop policies and procedures to ensure legal compliance. Assist the General Counsel with administrative or legal matters, including the planning, organizing and managing of legal issues arising from departments or fiscally-sponsored social ventures. Develop budget recommendations for the organization's legal, compliance and risk management efforts and department. Manage outside counsel and other compliance vendors to represent the organization in important litigation before courts and administrative tribunals, including preparing briefs and other court documents. Prepare, review and negotiate company contracts, requests for proposals and other legal documents. Oversee compliance and corporate governance issues. Keep informed of industry-specific regulations and ensure that appropriate risk management strategies are in place. Develop ng the organization's policies on industry-specific issues, corporate governance or regulatory affairs. Research and analyze the law on complex issues and writing memoranda for executives of the organization to stay abreast of legal and regulatory changes, emerging operations, and other relevant legal issues of import to company. Appear in a court of law, arbitration or other judicial tribunal and initiating, prosecuting or defending litigation on behalf of the company. Analyze and summarize complicated legal documents, including contracts, and making suggestions for alterations of those documents. Negotiate with outside parties on contractual issues and legal disputes, including settlement conferences. Anticipate and mitigate potential legal problems within the organization and developing strategies to avoid costly litigation and reduce potential areas of risk. Perform due diligence for a potential transaction involving the company. Advise on acquisitions, dispositions, spin-offs, mergers, for-profit and nonprofit conversions, joint ventures and other transactions, as necessary. In partnership with other department staff, track risk and compliance inquiries/issues, recommend solutions, and escalate appropriate issues to others as needed. Investigate inquiries from within the organization on domestic and international matters, including taxes, employment, contracts, insurance, risk management, licensing, and organizational policy. Work with outside counsel in the areas of immigration law, workers compensation, employment and intellectual property to advise clients and partners on legal requirements and legal risk and resolve claims. Research and analyze specific legal questions and prepare memoranda setting forth research results as requested by General Counsel. Develop effective legal, risk and compliance education and training tools for staff. In partnership with department staff, train staff on legal-topics relevant to the organization, including internal policies and procedures and compliance with laws that apply to company; assist in updating and creating new training sessions as needed and offer solutions to help staff achieve desired outcomes. Under the supervision of the General Counsel, assist with supervision of department staff, as necessary. Oversee review of nonstandard agreements, including: drafting, reviewing, and negotiating existing or proposed nonstandard agreements. Review and revise, as needed, company legal documents, such as grant agreements; consulting contracts; employment-related documents; software license and other information technology-related agreements; subscription agreements; template documents; legal policies and procedures; communications with governmental authorities; and operational and governance policies. Review and revise company' standard templates, including: Agreements for Services, Revenue Agreement, Residential Lease Agreement, and MOUs. Manage the corporate compliance program including: employment and business registrations, state solicitation registration, lobbying reporting, and manage all vendors and outside counsel working on same. Investigate and evaluate the legal implications of compliance issues, and recommend operational changes or alternative policies and procedures. Manage and register, transfer, defend company's intellectual property, as appropriate. J.D. degree and CA law license are required. Should preferably have 8+ years of experience in the areas of corporate transactional law, tax law, litigation, nonprofit, and employment law with prior in-house experience. Significant experience in the area of contract drafting and analysis is required. Should be familiar with a variety of legal concepts including insurance, trademark, trusts, privacy, nonprofit and relevant government regulations. Proficiency with MS Office suite of products and Salesforce, Fluxx and NetSuite, preferred.
