Corporate Counsel (Senior Manager) The candidate will be part of Office of General Counsel. Led by the General Counsel, Office of General Counsel consists of approximately 25 people, including lawyers, accountants, and legal assistants. Will be responsible for advising procurement and technology teams, preparing and negotiating vendor contracts, and covering all elements of the corporate law work handled by the group, including transactions, governance, and assisting on member firm matters. Additional responsibilities include: Provides legal and business advice to business leaders, quality risk managers, engagement teams, and stakeholders. Provides legal and business risk advice regarding contractual terms, vendor relations, and compliance matters. Works with practitioners to help identify and mitigate risks and advise on shared services strategies. Reviews and/or revises procurement contracts and other documents, such as requests for proposals/requests for information, survey and benchmarking agreements, independent contractor and consultant agreements, license agreements, software as a service agreements, confidentiality agreements, subscription agreements, sponsorship agreements, meeting and event agreements, membership agreements and other related agreements. Negotiates contract terms with contractors, licensors, vendors, and others. Provides analysis of legal and business risks, negotiation strategies, vendor relations, and compliance matters. Keeps abreast of proposed and existing legislation. Anticipates and guards against legal risks involving the organization. Works with member firms throughout the globe on various contract issues. Leads document negotiation sessions with vendor counsel. Performs other job-related duties as assigned. Must have J.D. from an accredited US law school and licensed to practice law in the US with admission in New York State a plus. Should have 3-6 years of experience at a top law firm. Experience in analysis, review, and drafting of complex vendor contracts required. Experience in mergers and acquisitions a plus. IP background a plus Must have corporate law/commercial contracts background, excellent written and verbal communication skills, comfort with contract negotiation, and excellent organizational skills and thoroughness – ability to handle multiple matters at once and see them through to completion in an organized and efficient manner. Should have knowledge of applicable legal and regulatory requirements relating to contracts, licensing, software as a service, marketing, technology, privacy and security, and will have experience partnering with business teams on a variety of projects.
