Senior Corporate Counsel – M&A The candidate will work with its Business Development group on mergers, acquisitions and licensing transactions, and with the Alliance Management and Third Party Manufacturing groups to support management of collaborations and negotiation of supply agreements for drug substance and finished product. Will report to the Senior Vice President, Associate General Counsel – M&A, Licensing, Alliance Management and Corporate Affairs. Lead the drafting and negotiation of product licensing and acquisition transactions (including acquisitions of assets and privately held companies), including due diligence, and review and revision of transaction agreements, confidentiality agreements, term sheets and proposals. Manage outside counsel in connection with public and private company acquisitions. Draft and negotiate supply/manufacturing agreements for drug substance and finished product. Provide advice and support for existing collaborations, including interpretation of agreement provisions, preparation and negotiation of amendments and periodic liaising with collaboration partner attorneys. Advise Business Development, Alliance Management and Third Party Manufacturing groups in connection with the foregoing.
Qualification and Experience
The candidate should have JD degree from a top law school, with strong grades. Should have 6+ years of experience (including in the corporate department of a major law firm) with focus on acquisitions, licensing, joint ventures and/or collaborations. Should have New York or New Jersey Bar Admission. Experience with pharmaceutical company clients or in-house experience at a pharmaceutical or biotech company is a plus. Strong drafting, communication, analytical and negotiation skills is essential.
