Senior Counsel, Finance The candidate will manage legal support for the full spectrum of the Company’s financing and transactional activities, including rigorous oversight of outside counsel to ensure quality work product and budgetary compliance. Work extensively with senior finance and business executives, including the Treasurer and Chief Accounting Officer. Play a key role in managing the company’s public company corporate governance. Provide legal advice on matters related to mortgage-backed securities, mortgage servicing and mortgage origination. Participate in, and manage, various corporate legal activities including negotiating a wide range of transactions, including those related to vendor management, outsourcing, commercial contracts, intellectual property licensing, services and confidentiality. Direct the company in regards to Sarbanes-Oxley Act requirements, and Dodd-Frank Act requirements. Juris Doctorate and current bar admission in at least one U.S. state is required; ability to qualify as state registered in-house counsel required. 6-15 years of experience with a demonstrated ability to apply sound legal strategies to complex issues involving the financial services sector required. Extensive experience in corporate finance and securities (including asset-backed financings, warehouse lines and other debt agreements, SEC filings and compliance, NYSE regulations, M&A, commercial transactions and NDAs) required. Ability to lead and manage outside counsel in regards to corporate governance, securities and transactions and excellent analytical, oral and written communication skills required. Major law firm training and public company law department experience preferred. Excellent communication and interpersonal skills, and a broad range of corporate experience, preferably including capital markets transactions, asset-backed securitizations, corporate credit agreements, securities and merger and acquisitions.
