Corporate Counsel The candidate will be drafting, reviewing, negotiating and interpreting a variety of commercial agreements – including but not limited to NDAs, master service agreements, master supply agreements, license agreements, statements of work, change orders, consulting agreements, purchase order terms and conditions, IT agreements (including outsourcing, software licensing, and SAAS deals). Functioning as a liaison among Legal, Procurement and various company-wide subject matter experts. Proactively working with clients to help them understand business deals and identify and mitigate key risks associated with transactions. Assist with improving, creating and/or updating form agreements and processes to improve aspects of contracting procedures. From time to time, assist with financings, corporate governance, intercompany lending and other finance and treasury matters.
Qualification and Experience
The candidate should have Bachelor's Degree. Law degree from an accredited U.S. law school; and admission to at least one State Bar is required, and the ability to secure NJ in-house counsel licensure per R. 1:27-2, if not already admitted to the New Jersey State Bar. Must have 6-8 years of corporate and/or commercial experience at a leading law firm, in-house, or a combination thereof. 3 years of law firm experience in a corporate department with experience in M&A, Capital Markets and Securities. Possess strong contract drafting and negotiation skills essential. Excellent oral and written communications skills; detail oriented required. Ability to advise legal risks and issues to clients, including members of the leadership team and other Company officers. Ability to manage a busy workload with multiple client contacts.
