Corporate Counsel Duties: Provide legal advice as part of the Leasing group within Real Estate Law. Working under a Senior Corporate Counsel and the Associate General Counsel – Store Leasing, draft, review, analyze and negotiate retail leases, subleases, lease amendments, termination agreements, construction exhibits and other real estate contracts, lease action documentation and related real estate documentation (e.g., letters of intent, licenses, easement agreements, term commencement agreements, memoranda of lease, waivers of exclusives, lien release agreements, reciprocal access agreements, letters of credit, title reports, declarations of conditions, covenants and restrictions, etc.). Provide legal advice with respect to the development of new stores, the relocation of existing stores and the exercise of options, renewals, remodels, terminations and closures for all Gap Inc. brands within North America. Assist a cross-functional team of business persons from Gap Inc.’s Real Estate and Construction departments in driving the new store development process from site identification to store opening and the lease action process with respect to existing stores. Analyze and address legal and contractual matters affecting Gap Inc.'s use and operation of its stores. Manage and resolve disputes with landlords, adjacent owners or users, contractors, etc. pertaining to store development or exercise of lease actions with respect to existing stores. Supervise and train legal assistants in supporting Gap Inc.’s retail leasing activities. Work with business partners to improve and enhance various business processes, including pipeline management and project management processes. Work with and manage outside counsel as appropriate and within budgetary guidelines to assist in consummation of lease negotiations and documentation, and to manage litigation and dispute resolution.
Qualification and Experience
Qualifications: J.D. / LL.M degree from an accredited law school. Licensed to practice law in at least one U.S. state or other applicable jurisdiction. 6+ years of major law firm or corporate legal department experience. 6+ years of legal experience practicing as a transactional attorney in real estate, with substantial work in the commercial leasing area. Litigation experience preferred. Retail experience preferred. Spanish or Mandarin language skills preferred. Property management and/or construction experience a plus.
