Corporate Counsel The candidate will be responsible for negotiating and drafting a broad range of customer and vendor contracts, including software licensing, SaaS solutions, and statements of work for related professional services, as well as strategic partner contracts, including reseller arrangements, OEM, technology and product development agreements. Assisting with legal department operations and strategy. Assisting with general corporate, commercial, enterprise risk management, HR matters and special projects as needed. Collaborating and interacting with business owners, understanding their business needs and providing necessary sourcing support in accordance with the company’s standard processes. Responsibility for managing relationships with suppliers, providing feedback with suppliers and ensuring business requirements and delivery schedules are met or exceeded. The candidate should have a J.D degree. Must be a member in good standing of the State Bar of California. 5-7 years’ experience, with at least 3 years of experience at a large law firm and the remainder in-house, at a publicly traded software company is required. Strong foundation in intellectual property law and licensing is essential. Should have experience with U.S. and E.U. privacy, data security, and compliance. Should be able to understand, interpret and explain contractual terms and conditions and legal principles to business owners and customers and directly negotiate with suppliers and customers. Must be technologically savvy and able to quickly learn how to use software applications (e.g., Google applications, JIRA (issue tracking)). This is a Temporary position.
