Senior Compliance and Ethics Counsel Candidate will be responsible for implementing Oracle’s Compliance and Ethics Program and achieving program objectives throughout Europe. Provide guidance to company’s regional executives and management on ethics, business conduct and compliance matters. Develop and implement a live training curriculum and schedule to ensure that company’s employees as well as distribution partners in the region are aware of company’s anti-corruption policy and relevant laws. Work with the EMEA Compliance and Ethics Officer to develop and deliver regular communications to employees in the region concerning company’s Code of Ethics and Business Conduct and related policies and procedures as well as new developments in laws or regulations pertaining to compliance. Collect executive and employee feedback on the effectiveness of company’s compliance policies, trainings and communications. Collaborate with external counsel, C&E Forensics, Global Information Security and the global compliance team as well as Finance, Human Resources and the Legal Department, as appropriate, to investigate allegations of unethical behavior or other violation of company’s policy, to recommend appropriate disciplinary and/or remedial measures, and to ensure such measures are promptly implemented. Collaborate with C&E Forensics and the global compliance team to record the progress of these investigations in company’s case management system to enable, among other things, system analytics and reporting for senior management. Collaborate with the Alliances and Channels organization to ensure the selection of company’s distribution partners that are committed to ethical business conduct and to support the partners in the implementation of effective compliance programs. Handle escalations of company’s distribution partner issues that arise through investigations or routine due diligence. Meet with distribution partners to underscore company’s commitment to ethical business practices. Administer the process for review of events, meetings and related expenses to ensure compliance with company’s policy. Administer the process for review of meals, gifts and entertainment to ensure compliance with company’s policy. Administer the process for disclosure of conflicts of interest in the region and ensure that mitigation plans are implemented where appropriate. Identify areas of legal compliance risk and collaborate with the global compliance team to mitigate the risk. Work with the global compliance team to identify common concerns, establish common standards and propagate best practices. Develop an expertise in the anti-corruption laws and related legal landscape, monitor ethics and compliance developments, identify best practices and champion adoption as appropriate. Collaborate with the global compliance team to monitor and continuously improve company’s Compliance and Ethics Program. Will report to the EMEA Compliance and Ethics Officer. Will be responsible for managing legal matters pertaining to the organization. Provides a variety of corporate and commercial legal services and counseling to company’s department and divisions. Represents company in litigation and other legal or administrative actions or investigations. Provides a variety of corporate and commercial legal services to company’s departments and divisions. Acts as an advisor on legal issues involving the organization*s government and regulatory compliance. Reviews legal data and advises organization on appropriate legal action to be taken. Coordinates legal matters handled by outside counsel. May develop and provide legal training to internal clients on an as-needed basis. Demonstrates experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents, license/technology agreements, employment law, immigration law, intellectual property, regulatory matters, contract management, and financing.
Qualification and Experience
Candidate should have Undergraduate and legal degrees from top institutions. 8+ years of legal experience, preferably in a combination of global law firm and in-house environments is needed. Experience in the high technology industry as well as previous experience in compliance and compliance investigations is preferred. Fluency in English (written and spoken) is required. Additional local language skills is preferred. Experience in trade secrets, advertising law, registration and other resolution specific to the computer and technology industry as well as SEC reporting is needed.
