Senior VP General Counsel The candidate will manage compliance with corporate laws and regulations, including understanding requirements, establishing and managing compliance programs, completing SEC and other government filings and training employees. Will assist in preparing for Board of Directors and Board Committee meetings and Annual Shareholders Meeting. Examine business practices, ensure that they are aligned with requirements of law, and provide advice regarding business practice risk. Ability to clearly articulate and defend risk analysis. Prepare, negotiate and review various contracts, including business, sales, clinical, consulting, vendor, distribution, non-disclosure, marketing, etc. Understand Company’s technology and its impact on legal issues. Negotiate and draft complex business and technology development agreements. Manage all Company litigation. Investigate claims to determine advisability of defending or prosecuting lawsuits. Assist in negotiating settlements where appropriate. Assist in collections issues. Manage legal aspects of foreign subsidiaries. Manage legal aspects related to employment issues. Manage patent law issues. Manage legal aspects related to mergers and acquisitions, including planning and completing due diligence and participating in negotiations and drafting agreements. Respond to marketing issues and questions. Respond to legal questions related to FDA and other regulations. Research and analyze law sources such as statutes, legal codes, etc. Lead the Legal team including chief intellectual property counsel and senior paralegal.
Qualification and Experience
The candidate must have a Juris Doctorate (J.D.) degree and have passed the Massachusetts Bar exam. Should have 10+ years of professional legal experience, including corporate law (public company), compliance, and contract. Experience is preferred in: medical device, mergers and acquisitions, and patent law. Should have strong interpersonal skills: ability and desire to develop positive relationships and work cooperatively with legal department colleagues, business unit managers/employees, and external entities such as outside counsel, customers, vendors, suppliers or other business partners.
