Commercial Counsel The candidate will play a key role as part of the legal/business team, negotiating and closing technology contracts with Fortune 500 customers and global partners and having responsibility for related compliance and other corporate matters. Will have significant responsibility related to the operation of the combined company's commercial efforts, with a focus on transactions for product licensing, maintenance and support services, reseller arrangements, and other strategic partnerships, as well as procurement. Reporting to the Associate General Counsel, the experienced lawyer in this role must be able to think strategically and apply sound judgment to critical corporate projects. Much of the work will require close collaboration with different functional groups and leaders throughout the company. Support and advise the sales team and other functional departments throughout company. Advise ACG and GC on transactions. Work closely with different functional groups amid deal negotiation. Review, draft, and negotiate a wide range of commercial agreements. Support regulatory and compliance efforts. Handle complex legal projects with significant financial and business impact. Counsel clients and develop best practices, apply leading edge thinking.
Qualification and Experience
The candidates should have 5+ years of experience with heavy emphasis on technology licensing. Most of experience should be with a network, security, or technology company. In house experience required. Solid foundation in IP licensing required. Experience working cooperatively with a sales team and other functional groups, on deadline. Experience with revenue recognition rules. Excellent communications skills, ability to manage many projects with minimal supervision, customer service (internal and external) attitude, attention to detail, and willingness to work on a variety of legal matters.
