Corporate Counsel Duties: Provide general legal advice to various company business units. Drafting and negotiation of a wide variety of commercial agreements such as customer contracts, MOUs, publishing agreements, NDAs, reseller and partnership agreements. Responsible for providing legal counsel to broad range of internal clients on issues related to contract interpretation, privacy, intellectual property, risk mitigation, government contracts and related requirements. Work closely with Sales, Finance, Editorial, Product Management and other company functions, conducting legal analysis and providing legal advice concerning to day-to-day business operations. Involves handling ongoing responsibilities as well as project-based work within the Legal Department. A key contributor able to provide strategic and tactical advice to help grow business operations while ensuring compliance with applicable laws and regulations. Assisting senior members of the Legal Department, as needed.
Qualification and Experience
Qualifications: J.D. from ABA accredited law school and current member of Massachusetts Bar in good standing. 3-5 years of relevant commercial legal experience. Mix of in-house and law firm experience a plus. Solid understanding of basic intellectual property and commercial law; experience with education and publishing issues, copyright, government contracts, and data privacy (FERPA; HIPAA) a plus. Must have significant experience and demonstrated track record of effective drafting and negotiation of commercial agreements.
