Profile

Associate Counsel, Corporate Legal Services Candidate will be responsible for a broad portfolio of corporate legal matters and offers substantial opportunity for long-term growth, both within the Legal Department and out in the business. Responsibilities also include drafting and negotiating agreements in support of company's divisions, including Strategy and Finance, Investment Management, Information Technology, Financial Advisor Services, Retail Investor Group, and International. Collaborates with internal clients and legal colleagues in various jurisdictions to determine and implement key negotiation strategies and positions. Advises internal clients on contractual disputes and legal, regulatory, and contractual requirements to ensure compliance. Provides proactive advice to internal clients on an array of strategic, financial and business initiatives. Conducts legal and/or factual research as necessary to support the needs and initiatives of the company. Establishes and communicates company policy with regard to legal issues arising under particular areas of expertise. Provides assistance and support with regard to work being performed by outside counsel selected to represent company. Supports the training, development and substantive work of legal administrators, legal analysts and other non-lawyer professionals in the Legal Department. Ensures that legal matters implicating areas across the company are adequately addressed by recognizing legal issues when arise, bringing the issues to the right people in the Legal Department; and where necessary, coordinating responses to Business Units to ensure that all legal concerns are addressed in a clear and consistent manner. Assists and provides support for new services or initiatives undertaken by company. Develops and maintains expertise in applicable areas of the law, company's business, and the mutual fund industry through attendance at functions discussing business (Annual Meetings), keeping current on industry and regulatory developments affecting business, fostering an interest in company's initiatives and new services and products offered, and researching applicable law, reading legal publications, and/or attending legal seminars. Supports and advances the Legal Department's other projects, endeavors and standards by maintaining the Legal Department's standards (through work ethic, responsiveness to clients, attitude, adherence to the company Code of Ethics and exercise of good judgment), initiating and implementing new projects as necessary or appropriate, supporting the Department's contingency efforts. Participates in special projects and performs other duties as assigned.

Qualification and Experience

Candidate should have excellent undergraduate and law school academic credentials. 4-6 years of relevant professional experience is essential. Experience with commercial and technology agreements is preferred. Experience representing investment funds in transactional matters is preferred.
