Deputy Counsel Duties: Will negotiate custody (GCSA, DCSA) and Securities Finance (SLAA, MSLA, MRA) documentation with clients and counterparties as the senior member of a two-person team. Key responsibilities include drafting and negotiating custody and securities lending agreements and ancillary documents; drafting amendments to executed agreements as circumstances change; suggesting enhancements to standard forms based on negotiation feedback; ensuring compliance of documentation with law, Federal Reserve, OCC and SEC regulations and company's policies and procedures, including company's Risk policies; providing feedback to business clients on progress; maintaining documentation records and populating documentation databases. In addition, position requires supervision of a more junior attorney with similar subject matter responsibilities.
Qualification and Experience
Qualification Requirements: A J.D. degree from an accredited law school and a current attorney's license. 4+ years of experience in a general corporate, transactional or bank regulatory legal practice; experience with securities trading is preferred. Training in business and legal issues relating to the specific products covered will be provided. Ideal candidate should have experience with a large law firm and/or a corporate legal department and should be able to progress multiple negotiations quickly while protecting company's interests. As one of multiple competitors in this product area, company's cannot dictate terms. Must have the sensitivity to protect company's while satisfying company's client. Must demonstrate ability to analyze issues and develop recommendations that meet business needs. Must also communicate effectively, possess strong drafting and negotiating skills, and possess ability to work well under pressure and multi-task. Some travel may be required.
