Senior Attorney The candidate will report to the company's Deputy General Counsel and Chief Compliance Officer. Will be responsible for corporate and governance matters for the company and its global subsidiaries as well as policy and procedure management, which entails communicating, training and attesting to corporate policies and procedures. Collaborate with the Chief Compliance Officer and senior compliance, finance and audit personnel to identify compliance and ethics risks and issues that may require monitoring and/or assessment. Negotiate complex legal, commercial and financial terms, including those related to mergers and acquisitions. Research and advise on matters relevant to the company's business, including intellectual property protection, general corporate compliance and contracting. Ensure compliance at all times with the company's legal, financial and risk management policies and procedures. Instruct and manage external counsel in the resolution of commercial disputes and litigation. Prepare and deliver presentations to employees on legal topics of interest; and other responsibilities as assigned. Prepare and examine contracts involving leases, licenses, purchases, sales, insurance, etc. Responsible for foreseeing and protecting company against legal risks. Analyze complex legal and factual issues, conduct extensive, well-reasoned legal research, independently develop and present defense strategies on behalf of internal clients. Provide effective and timely communications, information, legal advice and other services to clients and claims on legal issues. Provide support to maintain, determine and/or remediate legal compliance issues impacting the company's global operations from a total employment law, compensation and benefits perspective. Provide advice and counsel in the area of global mobility, expatriate and international assignments and global immigration matters. Provide, at times, ad hoc employment and labor law support to the Company as required. Defend, supervise and manage employment related claims and litigation, including managing outside counsel, responding to administrative charges, complaints, attorney's letters, settlement demands and claims globally. Negotiate appropriate resolutions to claims and other pending matters.
Qualification and Experience
The candidate should have a Bachelor's degree in related field or equivalent experience. Should be admitted into the State Bar. Should preferably have 5 years of transactional, corporate and compliance experience, either at a large law firm or as in-house for a company with global operations. Must be familiar with a variety of the utility and manufacturing industry's legal concepts, practices, and procedures.
