Assistant General Counsel - Private Bank (Real Estate and Private Equity) The candidate will provide primary legal support for the Private Equity and Real Estate business within the Private Bank. Will structure and negotiate private equity and real estate investment opportunities (including commingled funds, co-investments, and separately managed accounts) for global client base of high-net worth individuals, trusts, personal investment companies, family offices and charitable foundations. Negotiate distribution agreements, engagement letters, side letters and confidentiality agreements with third-party managers and their counsel. Provide support to the hedge fund single manager feeder platform. Coordinate legal due diligence. Retain and supervise external counsel. Negotiate terms of co-investments and separately managed accounts with third-party managers and their counsel. Draft feeder fund offering memoranda and governing documents. Review sales and marketing materials for compliance with Advisers Act, FINRA rules, and international regulatory requirements. Coordinate US and international regulatory filings. Advise SEC and CFTC-registered investment adviser, general partners and directors on investment-related issues, fund governance and regulatory compliance matters. Work closely with investment research, product management, fund administration, regional legal, compliance and internal and external tax advisors. Provide legal support for global implementation of and compliance with the Volcker Rule, as well as other US and non-US regulatory requirements, such as AIFMD. Must have Law degree with 4+ years of fund formation experience. Prior in-house experience within financial institution preferred/significant time with a large law firm with a sizable funds practice is required.
