Corporate Counsel The candidate will be primarily responsible for supporting commercial sales. Review and negotiate complex enterprise customer sales contracts, and professional services agreements that meet the company’s requirements under its policies including those for risk tolerance, while working collaboratively with the business team, including various executives. Identify contractual risks and issues and suggest alternatives that lead to optimal solutions. Liaise with finance, sales operations, support, security and other business units at all levels throughout the organization. Work collaboratively with other members of the legal team and act as escalation point for more junior team members.

Qualification and Experience

The candidate should have J.D. degree from an accredited law school. Must be current member of a state bar in good standing. Should have 6+ years of software licensing and SaaS experience to join our dynamic legal team. 6+ years of experience in the software industry – a mix of law firm and in-house experience is preferred. Must have extensive experience drafting and negotiating SaaS agreements and other technology related agreements. Should have experience negotiating with customers in regulated industries and familiarity with BAAs, DTAs and DPAs. Should possesses a practical, real world, collaborative approach to problem solving in the context of commercial sales with the ability to make sound decisions and exercise good judgment. Should have excellent contract and legal negotiation skills with extensive experience working with enterprise customers and supporting enterprise sales teams. Ability to understand complex contractual issues, assess risk and provide concise business-focused legal advice is needed. Must have demonstrated proficiency in resolving complex legal issues and handling challenging negotiations diplomatically. Should have good understanding of revenue recognition principles. Familiarity with various data security laws and regulations are needed.
