Profile

Corporate and Securities Counsel Candidate should be well versed in U.S. federal securities laws, stock exchange rules and corporate governance and compliance. Will handle work related to U.S. federal securities laws, stock exchange rules and state corporate laws compliance, including ’34 Act compliance (all periodic and current reports), ’33 Act compliance (S-3s, S-8s and public and private offerings) and Section 16 filings. Provide legal support to Finance, Compensation, Treasury, Tax and Investor Relations functions. Assist with the preparation of Board and Committee meeting materials. Assist with corporate governance matters as needed, including updating and administration of corporate governance policies. Assist with bank financing matters as needed, including ongoing compliance under the Company’s bank and convertible note debt. Provide assistance as needed in relation to the Company’s worldwide employee equity plans and programs. Conduct educational presentations on legal and regulatory matters as needed. Assist with M&A integration matters as needed. Will report to the Associate General Counsel, Corporate and Securities.

Qualification and Experience

Candidate should have a J.D. degree and Bar admission (California preferred). 4+ years f legal experience, with 3+ years at a top-tier law firm is required. Some in-house experience is preferred. Significant securities law and compliance, and ’34 Act drafting, experience is needed. Thorough understanding of public company corporate governance requirements and best practices is required. Experience interacting with and advising senior management and public company directors is preferred. Understanding of other functional areas such as Employment & Benefits, M&A and Real Estate is preferred.
