Associate (Corporate and Securities - Technology) The candidate will have exposure to business transactions including general corporate formation, governance and compliance matters, and acquisitions and mergers. Responsibilities include reviewing, summarizing, and organizing due diligence materials and preparing disclosure schedules; preparing and reviewing corporate governance and organizational documents such as charters, bylaws, and Board and stockholder meeting minutes, written consent actions, and resolutions; and preparing and reviewing various contracts such as confidentiality agreements, license agreements, vendor contracts, employment, and consulting agreements.
Qualification and Experience
The candidate must have 2-3 years of large or medium law firm corporate/transactional experience focused on private companies, and experience with venture capital and private equity financings, including convertible debt and equity, mergers, acquisitions, and divestiture transactions, stock and asset purchase agreements, restructurings, strategic alliances, and similar transactions. A scientific, engineering, software, or financial/accounting background is preferred.
