Senior Proxy Analyst Duties: Reviews analyzes and votes proxy materials in accordance with board- and client-approved guidelines. Primarily focuses on portfolio company executive compensation practices, including, among other things, the evaluation of company pay and performance, the rigor of incentive plans and the effectiveness of alignment of executive and shareholder interests. The role will also consider other corporate governance and shareholder rights issues. Will be involved with regular and independent engagement with investment management, executives and board members of portfolio companies to communicate and potentially resolve executive compensation and corporate governance issues raised under the proxy voting guidelines. Collects and analyzes voting statistics and summarizes current market practices for the purposes of management and board reporting and contribute to guideline development and recommendations through research of compensation and governance trends in various markets. May also be responsible for daily department operations, including workflow, vote execution and record retention and oversee the performance of third-party service providers. In executing these responsibilities, the Senior Analyst will be analytical in monitoring activity to gather and interpret data leading to process improvements. Works independently to resolve reoccurring challenges and escalate more difficult issues. Will need to exercise superior judgment in keeping manager informed about day-to-day issues. Reviews, analyzes and votes proxies in accordance with board- and client-approved guidelines. Completes analytical executive compensation and corporate governance research on portfolio companies. Effectively represents company when meeting with portfolio company C-level executives and board members and leads conversations seeking to resolve compensation and governance issues raised under the proxy voting guidelines. Communicates effectively and leads conversations with investment professionals, legal, and senior management regarding compensation and governance issues at portfolio companies. Establishes thought leadership by producing and overseeing research content on high-profile executive compensation issues and trends. Stays current with executive compensation and corporate governance trends and commences additional research as needed. Researches proxy voting guideline-related issues and supports staff in completion of such projects. Ensures that all materials are processed and record-kept under department and regulatory requirements. Establishes effective working relationships with other company's business groups and external service providers. Participates in and contributes to department-wide initiatives in support of individual, team and department goals. Identifies process improvement opportunities.
Qualification and Experience
Qualification Requirements: A Bachelor's degree; J.D. or MBA degree is preferred. 5+ years’ experience, including 3+ years of experience, preferably focused on proxy, corporate governance, or executive compensation. A general knowledge of investment industry operations and trends in corporate law and SEC regulations is desired. Excellent intellectual curiosity, problem-solving skills and the ability to communicate effectively at all levels. Leadership within the team and appropriate decision-making skills are required as the individual becomes more experienced in the role. Demonstrated analytical skills, intellectual curiosity, problem-solving abilities, and attention to detail. Strong organizational skills with a proven ability to multi-task, manage high volumes, meet deadlines, and resolve complex problems under time pressure. Familiarity with SEC filings. Capable of distilling corporate governance-related information from complex public company documents. Demonstrated understanding or competency in corporate governance globally. Strong understanding of shareholder and corporate governance issues gathered through research and contact with portfolio company executives. Strong oral and written communication skills. Self-motivated and able to work independently while exercising superior judgment to escalate difficult issues where appropriate. Ability to establish and maintain strong relationships with demanding clients, senior personnel, and internal and external business partners. Understanding of the operational issues for proxy voting. Good interpersonal skills and the ability to work collaboratively across functions. Strong PC skills including Microsoft Office applications.
