Profile

VP, Associate General Counsel, Business Services Duties: Provide legal representation in transactional and commercial arrangements. Work collaboratively with organization associates to support corporate initiatives. Provide senior management with legal advice, risk assessment and business judgment in connection with commercial arrangements, strategic corporate transactions and other initiatives, including, without limitation, technology transactions, financing and treasury transactions, and acquisitions of other businesses, assets and/or intellectual property. Review, negotiate and draft commercial agreements and other documents in order to obtain the optimal balance of commercial and legal risk and reward. Manage the overall strategic transaction process, including collaborating with senior management, coordinating and performing due diligence, drafting, and negotiating relevant transaction documents. Provide education and training on relevant legal and other issues to associates. Advise clients on contract interpretation and other legal issues and coordinate decision-making across departments and business units. Oversee intellectual property issues, including trademarks and patents and real estate purchasing and leasing matters. Develop short and long-term initiatives that align with the company strategy. Provide guidance, coaching and development opportunities appropriate to each direct report’s individual needs. Perform all necessary management functions, including hiring, performance evaluations, merit allocations, and disciplinary action as required. Act as an escalation point and provide recommendations for team members in resolving personnel and project related issues. Communicate decisions, priorities and relevant project information to appropriate levels of staff. Use data and key performance indicators to identify trends and recommend corrective action plans. Support budget management, planning and expenditure.

Qualification and Experience

Qualifications: JD Degree and admitted and in good standing to practice law in Missouri or at least one U.S. state required. 7+ years of broad corporate law experience, including substantive experience in corporate transactions, commercial transactions, and securities laws with large law firm or in-house. 7+ years of management/supervisory experience required. Experience with technology transactions, intellectual property law and Investment Company/Advisers Act experience a plus. Strong substantive knowledge in corporate transactions, commercial transactions, finance transactions and securities laws. Outstanding reputation of professional integrity and with the potential to be immediately, personally credible within the organization and in the financial services community. Expert in general management knowledge and skills such as departmental goal setting and planning, budgeting and personnel administration. Ability to lead a high-performing team; successfully lead initiatives, projects and activities that support departmental and organizational goals. Excellent communication and presentation abilities both in in internal and external meetings, including strong written and verbal skills and the ability to explain complex legal issues to non-lawyers effectively. Ability to self-start and to work independently, but also the ability to work collaboratively with the flexibility that allows for the input of others. Strong critical thinking skills and sound judgment. Ability to grasp concepts quickly. Must possess a level of comfort in dealing with ambiguity and risk; ability to synthesize complex information effectively; ability to expertly translate complicated issues into actionable recommendations and solutions. Proficiency with Microsoft Word, Excel, and Outlook.
