Corporate Counsel- International The candidate will provide legal advice and counsel to support international operations, particularly in Latin America. Participate in international negotiations with third parties regarding contracts, acquisitions, proposals, and new ventures. Supervise preparation and review of corporate governance documents of Brink's, Incorporated’s affiliates and subsidiaries in Latin America, ensuring accuracy and compliance with applicable law. Provide legal advice and counsel on diverse matters related to day-to-day operations, including employment and personnel matters, commercial and transactional, contractual matters and preparing, reviewing and implementing appropriate legal documents, to support efficient and compliant operations in Latin America region and minimize exposure to risks. Manage compliance program for Latin America region to minimize risks associated with non-compliance, including program design and drafting training materials. Provide advice and assistance on compliance matters. Conduct investigations. Provide training to management personnel. Negotiate with third parties regarding contracts, proposals, new ventures, and acquisitions and dispositions to ensure an advantageous company position in such arrangements consistent with management's philosophy and legal obligations. Provide advice and assistance on corporate issues, such as legal requirements for corporate structure and limits on scope of activities, and work with outside counsel in various Latin America countries as needed, to ensure compliance with local regulations and restrictions. Work with Latin America regional and country management and The Brink's Company legal department to improve and refine policies and procedures to ensure consistent approach on regional issues as appropriate and enhance compliance with legal requirements.
Qualification and Experience
The candidate should have Law degree from an ABA accredited law school or equivalent. Admission to State Bar or foreign equivalent and eligible to practice law in Virginia is needed. Must have 8 years of broad corporate and commercial law experience in the Latin America region in areas of corporate and commercial contracts (services, IT, financing, construction), mergers and acquisitions, labor and employment, compliance and ethics (advice, training, program design and management, investigations), corporate governance, and labor, employment and commercial litigation. Fluency in Spanish (speaking, reviewing and drafting legal documents) is required.
