Senior /Corporate Counsel – RIM Director and Privacy Officer The candidate will responsible for all legal matters affecting North America’s ongoing operations and strategic development. Provides transaction based legal services and as a trusted business partner, also provides consistent, proactive, and solution-oriented, legal advice and guidance. Deliver Records and Information Management (RIM) practices, procedures and policies to drive effective and compliant management of the Company’s critical information assets from creation to final disposition; mitigate risks of data breach. Develop North America Privacy Officer role and serve as Privacy Officer; advise business, R&D and support functions on US and international privacy and data protection matters, and ensure compliance with applicable laws and regulations. Coordinate with Merz Global and Regional Privacy Officers on data privacy and management. Add demonstrable value to the NA Business by providing collaborative support and advice on business strategies and operations utilizing information and electronic media in sales and marketing and other interactions with consumers, customers, and external stakeholders. Develop and maintain meaningful collaborations with North American Business and support functions to develop and execute RIM strategy and drive accountability for effective practices in records and information management. Lead the formulation, implementation and maintenance of RIM and Privacy policies and SOPs. Lead and/or participate on Company Information Governance programs ensuring appropriate controls for RIM, privacy, information security, legal discovery and other aspects of good information practice. Review all system-related information security plans throughout the Company’s network to identify and address privacy/security risks. Serve as primary counsel to Commercial Excellence, Customer Solutions and IT functions. Work collaboratively with IT, Business, Compliance, and Finance to provide ongoing assessment of privacy and data protection practices, identify risk areas, and draft, review and revise internal policies. Assess document retention/management practices and status for North America and review and revise internal processes and policies. Work with NA Business and support functions and IT to implement retention and disposition practices for both records and non-record information including electronic archiving capabilities. Create and direct the development of effective training/education programs to ensure employees are aware of their obligations to protect and observe RIM policies. Develop internal and, as necessary, external reports regarding privacy and data protection matters. Coordinate North American privacy and data protection practices and policies with Global policies and practices in cooperation with Global Legal Affairs, Compliance and Audit functions. Maintain expert knowledge of relevant legislation, regulations, and directives regarding privacy, data security, and document retention to ensure Company adaptation and compliance. Review software licenses, electronic media contracts and other IT-related agreements. In collaboration with NA Business Units and Compliance, implement a monitoring and auditing program to ensure continuous improvement of the RIM program. Participate on new business and technology initiatives to provide RIM subject matter expertise and direction, and remain current on developments in RIM outside the company. Manage outside counsel and RIM consultants, and coordinate with Compliance, Global Legal and Audit and other Merz regional Privacy Officers on privacy and record management matters. Establish and administer a process for receiving, documenting, tracking, investigating and taking action on all complaints concerning the Company’s privacy policies and SOPs. Educate Management/Business Units by conducting seminars on relevant privacy and data protection issues and good records practices and related Company policies.

Qualification and Experience

Qualifications: Excellent academic credentials. Graduation from an ABA-approved law school; licensed to practice law in good standing. 10+ years overall legal experience in law firm and/or corporate legal departments. Demonstrated knowledge and experience in the application of US and international laws and regulations governing privacy and data protection matters. Demonstrated knowledge and experience in records and information management. Ability to think creatively in a heavily regulated environment and handle multiple complex matters. Highest ethical standards and respect of confidentiality for company matters. Project Management experience highly preferred. Proficiency with Project Management software a plus.
