Associate General Counsel - Corporate and Commercial The candidate will support and collaborate with Stock Building Supply’s legal team and senior business leaders, corporate department managers and field operations leaders; providing legal counsel and assistance on a wide variety of corporate and commercial legal matters. Support the company’s merger and acquisition activities, including conducting diligence reviews, drafting and negotiating transaction documents, and participating in post closing legal training and integration. Assist the General Counsel in corporate governance matters, including Board and Committee matters, SEC filings and proxy and annual meeting requirements. Efficiently prepare, draft and negotiate corporate and commercial agreements, including construction contracts, product sales agreements, real estate and lease documents, supplier contracts, vendor contracts and commercial lending agreements. Respond timely and effectively to internal and external customer requests and inquiries. Manage outside legal counsel in areas of responsibility. Participate in the development and delivery of training programs for corporate and field operations; providing insight and input on areas such as contractual terms, regulations and negotiations. Proactively identify and surface company legal risks and exposures, and assist in formulating and coordinating appropriate corrective actions. Participate in special projects as assigned by the General Counsel.

Qualification and Experience

The candidate should have Juris Doctor and Bachelor’s degree in complementary field. Must be licensed and in good standing. Should have 5 - 10 years progressive legal experience with strong law firm or corporate law department with substantive responsibilities in M&A, general corporate and commercial matters. Prior experience in a corporate legal department is needed. Hands-on experience with Section 16 and other SEC filings are required. Must have excellent communication, drafting and negotiation skills. Should be MS Office and computer literate. Construction contracting is required.
