Senior Securities and Corporate Counsel The candidate will provide legal counsel to firm on a variety of securities, SEC reporting and disclosure, public company and finance related matters. Will be reviewing and preparing firm’s quarterly and annual reports, regulatory disclosures, 8-K filings, proxy and registration statements, NYSE listing, ownership reporting, attorneys’ letters to auditors, sustainability reporting, banking and credit agreements, bond indentures, rating agency matters; and ensuring compliance with securities-related regulatory matters including Reg. FD, insider trading, Dodd-Frank Act and executive compensation and stock plan matters. Lead the process of preparing and reviewing periodic filings including annual report, 10-K, 10-Q, 8-K, proxy and registration statements. Provide counsel on banking and credit agreements, bond indentures and other finance matters; taking a key role in negotiating, drafting and reviewing related documentation; overall legal support to the finance and treasury functions. Provide counsel on executive compensation and stock plan matters. Assist the General Counsel and Corporate Secretary with Board and Board Committee related matter, which will include the preparation and review of meeting materials, resolutions, minutes, and charters; manage processes relating to internal reorganizations. Provide counsel for various other commercial transactions and other company and legal projects as required.

Qualification and Experience

The candidate should have a Juris Doctorate degree. Strong academic credentials needed. Membership in the State Bar association as an attorney licensed to practice law, preferably in Minnesota needed. Should have 10+ years of significant experience in securities, SEC reporting and disclosure, and finance areas. Strong background in corporate, mergers and acquisitions and transactional work needed. Proven experience in successfully managing outside counsel essential. Strong computer skills, which includes proficiency with Microsoft Office needed.
