Corporate Attorney The candidate Practice general corporate securities law. The practice of corporate law involves helping corporate clients to perform a variety of transactions in a way that is in their best interest. Draft and negotiate complex transactional instruments on behalf of clients. Work with the Securities and Exchange Commission ("SEC") and state authorities to enable clients to carry out their securities transactions in the most effective and efficient manner and in adequate compliance with applicable provisions of federal and state securities law. Assist clients to prepare and make various SEC filings in accordance with the Securities Act of 1933, Securities Exchange Act of 1934, and other securities laws and regulations, including the JOBS Act. Apply familiarity with potential issues the can be raised by various parties, such as company executives regarding their compensation, corporate acquirers regarding due diligence, transfer agents regarding their share register and capitalization of a company and stock holders regarding their share ownership and holding periods of their stock. Navigate and analyze the Delaware General Corporation Law, the Delaware Limited Liability Act, the California Corporations Code, and other various federal and state corporate bluesky laws. Advise clients regarding corporate governance, board and committee actions, stockholder issues, employee management, and compensation and benefits issues. Prepare and file various applications with FINRA, NASDAQ, or NYSE and respond to their inquiries. Apply familiarity with the SEC's Edgar process and be able to work with financial printers to make sure the filings are made in a timely manner in compliance with applicable rules. Should have a Juris Doctor in Law, or foreign equivalent. Must be licensed to practice law in the state of California. Employer will accept any suitable combination of education, training, or experience. Professional and/or academic experience must include: Ability to communicate complicated legal issues in a clear and concise manner; and ability to conduct legal research and understand and analyze complex legal rules, issues and instruments.
