Assistant General Counsel, Corporate Affairs Duties: Lead highly complex, strategic corporate law projects and transactions with respect to Company’s domestic and international business operations. Collaborate extensively with Company’s leadership team, chief strategic team and other groups such as finance, human resources and communications. Envision and implement Company’s global corporate compliance program. Establish performance standards and compliance metrics and develop methodologies to detect compliance issues. Manage the auditing and monitoring of the corporate compliance program. Ensure that compliance violations and concerns are addressed appropriately. Routinely monitor performance of compliance program against company goals and objectives, as well as industry best practices and comparable peers. Collaborate with finance, internal audit, IT and other functional experts and in-country leadership to develop and continuously monitor and report on enterprise risks. Assume a leadership role in ensuring securities law compliance. Manage securities filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, Section 16 filings, and proxy statements. Collaborate with human resources to provide recommendations on executive compensation policies, compliance practices, and meeting other employment requirements. Research applicable new laws and regulations and other governance issues and report findings to the board of directors. Lead team that prepares draft minutes, resolutions and meeting materials and maintain minute books for board and all board committees. Manage a team of two lawyers and one paralegal.
Qualification and Experience
Qualifications: A J.D. degree with outstanding academic credentials. California State Bar membership. 15+ years’ experience with an established law firm or corporate legal department. A mix of corporate law firm and in-house experience is a plus. Substantial experience with relevant corporate transactions, including mergers, acquisitions, dispositions, and financings. Experience providing legal guidance on corporate finance, asset management, investments, and treasury. Experience implementing scalable legal processes and systems. In-depth knowledge of securities law. Strong drafting and negotiating skills. Confidence and experience with international matters, including cultural aspects of global business. Excellent business judgment; ability to think strategically and to give practical advice. Strong interpersonal skills and excellent written and verbal communication skills; ability to communicate complicated concepts both through written and verbal means to senior business clients. Comfort in dealing with senior management on a variety of complex issues. Mindset to establish instant credibility as an attorney and business partner with internal clients. The ability to manage a large number and variety of mission-critical projects, working both independently and as part of a highly collaborative team in fast-paced environments. Experience building, managing and mentoring in-house lawyers and staff. A team player who can effectively work with and manage paralegals, assistants, other lawyers, and business clients cooperatively and efficiently.
