Associate General Counsel Duties: Assist the General Counsel and other members of the legal department as requested in general corporate matters. Contract drafting, review and negotiation. Public company work, including SEC and NASDAQ filings, proxy statement, Section 16 compliance and reporting. Corporate finance matters, including any debt or equity offerings. Assist in compliance related matters, including some involvement in monitoring and training as well as company policy management. M&A and other strategic transactions. Perform other duties as assigned.
Qualification and Experience
Qualifications: J.D. Degree from an accredited law school. Licensed to practice law in the State of New York. 4+ years’ experience at a firm or company advising on general corporate and business matters. Sound business acumen. Ability to maintain a high level of confidentiality. Excellent communication and writing skills. Principled, with good judgment and common sense. Strong interpersonal skills. Hardworking and results oriented. Ability to successfully manage multiple priorities in a fast pace environment. Ability to work independently and seeking increasing responsibilities. Public company experience is a plus.
