General Counsel Duties: Serves as chief legal officer and as a member of senior management team. Manages legal affairs in support of mission; provides sound legal advice to President, senior management team, and other staff on a wide range of complex legal issues; and effectively represents or directs the representation of in legal matters. Proactively advances the programs and operations of by providing President, senior management team, and other staff with thoughtful, practical, and creative legal counsel, advice, and other services on legal, policy, and operational matters. Governance: Advises CEO, President, senior management team, and other staff on matters of corporate governance, including any legal questions relating to certificate of incorporation and by-laws or to conflict of interest policies, and other governance-related policies. Legal Compliance: Advises CEO, President, Senior management team, and other staff on any issues or questions relating to current or proposed federal, state, or local laws, regulations, or other government measures that affect or may affect operations. Management of Department: Directs and oversees Department, manages its attorneys and professional staff members, and ensures that their activities effectively support programs and activities, with a minimum of bureaucracy and with appropriate consideration of relative risks and benefits of alternative approaches to issues or questions. Mentors and supports the Legal Department staff in carrying out Legal Department’s work in an effective, efficient, and professional manner, in support of mission and programmatic goals, and in productive collaboration with other departments and staff. Develops annual budget for Legal Department and monitors expenditures against budget over the course of each year to keep costs within approved budget. Management of Outside Counsel: Determines when it is appropriate to retain outside counsel to assist in the provision of legal services, taking into account the nature of the potential legal risks and the potential costs and benefits of engaging outside counsel to help address those risks. Identifies and engages outside attorneys who have the required expertise and skills and who will be a good fit for needs. Manages costs of outside counsel effectively. To the extent costs of outside counsel for specific matters are foreseeable, budgets appropriately and keeps costs within approved budget. External Inquiries or Complaints: Assists as needed with responses to external inquiries or complaints from federal, state, or local agencies, or other non-governmental parties or representatives, by providing practical advice and counsel on how to respond and, depending on the circumstances, the potential risks and benefits of alternative approaches to responding. Assists with responses to other external inquiries or complaints that may raise legal or other significant issues. Litigation or Other Legal Action: Provides effective and practical legal representation, advice, and opinions on handling, monitoring, and resolving disputes that may lead to litigation or other legal action. Works with senior management to handle and resolve, in the manner that senior management determines best serves interests, litigation or other legal action. Commercial activities: Provides legal counsel regarding corporate and commercial matters, including: customer supplier and service agreements with regard to the clinical diagnostics, sequencing, and bioinformatics operating units; Works closely with the Chief Business Officer on business development contracts. Contract Drafting, Review and Negotiation: Provides practical support to other departments in the drafting, review, and negotiation of significant contractual arrangements of all kinds, including by advising on the risks and benefits of different contract terms so that the department responsible for the contract can make an informed decision about how best to proceed in negotiating with the counterparty. Employment-Related Matters: Provides practical advice and counsel to Human Resources professionals and senior management on labor and employment issues of all kinds, including employee benefits, employee relations matters, and compliance with employment-related federal, state, and local laws and regulations. Research Matters and Policies: Ensures that Legal Department provides high-quality, reliable support of scientific departments in furtherance of scientific research and technology transfer goals. In addition to sound and thoughtful advice and counsel on research-related policies and issues, this support includes timely review and handling of materials transfer agreements, collaboration agreements, consulting agreements, and other agreements relating to business; timely review and comment on proposed licenses and other agreements relating to dissemination of technology arising in laboratories; providing practical advice and counsel to support compliance with HIPAA and other privacy regulations, environmental health and safety laws and regulations; and other support as appropriate or requested. Sponsored Research and SBIR: Provides practical advise and counsel to staff on sponsored research and SBIR grant related legal issues. Assists with drafting and managing contracts for donor philanthropic agreements. Maintains a current knowledge of legal issues of importance to through participation in continuing legal education and membership in appropriate bar and professional associations. Provides other advice and counsel within as requested from time to time, and carries out any other duties and responsibilities assigned by the President or the Trustees.

Qualification and Experience

Qualifications: Must have a JD degree from a law school accredited by the American Bar Association. Must be a member of good standing of the state Bar of New York. 15+ years of experience as an attorney in private practice or in a corporate legal department, working in a life sciences organization or practice in ideally in the research or nonprofit arena, is required. Progressively more responsible legal experience culminating in equivalent role as General Counsel is preferred. Significant experience in legal practice including the ability to perform substantive legal research; draft, review, and negotiate a variety of agreements; and analyze complex legal and factual issues. Clinical diagnostic laboratory legal experience preferred. 5+ years of experience in supervising the work of other lawyers. Broad experience with handling a wide range of legal matters, including matters relating to governance, tax, intellectual property, and investments. Broad legal generalist background: including strong corporate transactional, intellectual property, regulatory, and corporate governance matters, as well as experience dealing with corporate and non-profit boards; Strong business acumen: able to grasp key business and industry drivers, become quickly immersed in business and legal issues facing the Center, and speak fluently in lay terms about the business and legal priorities of the Center; Strong leadership and interpersonal skills, able to work effectively with Trustees, senior management, other staff, and diverse external collaborators and business partners. Strong managerial skills; able to coach a group of highly-functioning professionals to work well together in support of the Institute’s mission. Excellent analytical, problem-solving, and organizational skills. Demonstrated capacity to deliver high-quality legal advice in a complex environment. Excellent written and oral communication skills in public and private settings with diverse audiences; able to translate complex legal issues for a lay audience. Able to communicate effectively with a wide variety of constituencies, including outside attorneys, senior management, scientists, and other employees. Able to identify risks and propose alternative structures or approaches to mitigate risks. Able to handle multiple projects and prioritize. Proficient computer, database, and word processing skills.
