Senior Associate The candidate will work within the Corporate/Latin America practice group. Will provide advice to clients on highly technical legal issues involving corporate and securities laws, rules and regulations. Should have a J.D., LL.M. degree or foreign equivalent. Must have 5+ years of experience in the job offered to include: developing and executing strategies for cross-border financing using repayment and collateral structures that involve assets located inside and outside of the US; negotiating covenant packages and other terms and conditions in bank lending and debt capital market transactions across multiple industries, including the manufacturing, aeronautical, retail, financial services and real estate industries; advising underwriters and issuers on the execution of global debt and equity offerings in the international capital markets in both registered offerings and offerings exempt from the registration requirements of the Securities Act of 1933; drafting and negotiating, and supervising mid-level and junior associates in the drafting and negotiation of offering documents in both English and Spanish in the context of global securities offerings, as well as related transaction documents, including underwriting agreements, purchase agreements, indentures, intercreditor agreements, security agreements, and registration rights agreements; coordinating and overseeing work of local counsel from Civil Law jurisdictions in Latin America including Argentina, Brazil and Mexico, including analyzing complex Civil Law legal concepts and reframing those concepts into Common Law; advising foreign private issuers on their ongoing reporting obligations under the Exchange Act of 1934; developing and implementing structures available to foreign private issuers under the Investment Company Act in the context of global securities offerings; drafting and negotiating complex transaction agreements for cross-border mergers and acquisitions; and structuring and implementing in-court and out-of-court restructurings and work-outs across various jurisdictions and industries, including the manufacturing and extraction industries. Should be admitted to practice in the State of New York. Spanish fluency (oral and written) required.
