Capital Markets Counsel III The candidate will be responsible for providing legal support in connection with securities origination transactions and related activities with focus on high yield debt. May also provide support for investment grade debt, convertible securities and equities origination businesses.
Qualification and Experience
The candidate should have Juris Doctorate degree and State Bar membership. Must have 5+ years of experience as a practicing attorney with a major law firm, securities regulatory agency or in-house law department, including 3+ years of representing firms in capital markets and investment banking activities. Understanding of international issues related to securities origination transactions is preferred. Understanding of broker-dealer regulation, including sales and trading is desired. Demonstrated ability to research, and provide counsel and guidance on, complex legal issues is required. Should have ability to analyze questions of law in substantive areas of practice, provide effective advice to clients on routine legal matters. Strong verbal and written communication skills; interpersonal skills; excellent organizational skills and attention to detail; flexibility and adaptability to changing priorities and deadlines are needed. Should have federal and state securities law expertise, and extensive experience on debt securities offerings and representing underwriters. Must be able to assume responsibility quickly and have the ability to work in a complex environment requiring a high degree of collaboration and ability to work effectively with outside counsel.
