Counsel Corporate Governance & Securities Duties: Reports to Vice President and Corporate Secretary, but also provides legal support and guidance on behalf of the Corporate Secretary’s Office. Provides legal support for the Corporate Secretary’s Office. Applies legal knowledge to business issues, while developing subject matter expertise and knowledge of the company/industry. Will typically work with and may receive specific direction from one or more senior attorneys, and, depending on the capability of the candidate, may assume greater responsibility in providing legal support to internal clients. Key Responsibilities: Provides legal support regarding corporate governance matters and board meetings, including preparation and distribution of meeting materials and minutes. Provides legal support regarding shareholder meetings, including preparation of proxy statements, response to shareholder proposals and NYSE filings, and coordination with the transfer agent. Provides legal support on securities law and disclosure matters, such as Forms 10-K, 10-Q and 8-K, Section 16 filings, Reg FD compliance and press releases. Assists with subsidiary maintenance, including preparation of written consents and state filings. Assists with oversight of corporate policies. Researches corporate governance trends and other legal issues. Resolves legal issues and provides proactive legal advice. Works with outside counsel on select matters. Communicates with clients.

Qualification and Experience

Qualifications: JD degree and active bar license with 3+ years of experience within a reputable law firm and/or in-house legal department of a mid to large size corporation. Experience in corporate governance and securities law is strongly preferred, but not mandatory. Knowledge of corporate governance trends. Knowledge of federal securities law and filings, and general corporate law. Detail oriented. Ability to understand and advise from a business perspective. Exceptional oral and written communication skills. Good project management skills. Ability to balance the legal issues of a project with the goals of the business through the demonstration of strong, pragmatic business acumen and the ability to recognize the business consequences of legal advice. Ability to work independently and efficiently under time pressures and deadlines in a fast-paced environment. Ability to work with cross-functional teams. Strong, logical legal mind with the ability to apply abstract concepts of law to make timely, well-reasoned and appropriate decisions to solve problems. Strong advocacy skills. Ability to function autonomously, yet understands necessity of advising management of work progress and any unusual situations. Skilled at managing multiple tasks simultaneously and effectively. Adaptable to changing environments. Exercise of sound judgment. Ability to maintain confidentiality of all matters.
