Corporate Counsel Duties: Assist the North America legal department by drafting and helping to negotiate/finalize all forms of commercial contracts and by providing legal counsel in multiple areas, including corporate governance, service provider agreements and other purchasing agreements (including RFP review), financing and financial services agreements, regulatory matters (FTC, etc.), privacy law, data protection/data sharing agreements, software licensing, anti-trust law, confidentiality agreements, logistics and supplier agreements, etc. Develop and maintain the legal expertise needed to perform the role. Report to the General Counsel in North America. Prepare, review, draft, negotiate commercial contracts for adequate legal protections and compliance with internal policy. Attend to corporate governance and related issues, as well as regulatory matters and compliance issues. Advise on privacy and data protection issues and help train the relevant business people. Assist on special projects and other tasks of the legal department.
Qualification and Experience
Qualifications: Bachelor’s degree required and a J.D. degree from an accredited law school. Must be a member of the Bar in a U.S. state and be in good standing. 6 years of related experience. 1 year of experience of in-house legal experience preferred. Advanced commercial contract drafting and corporate governance experience. Automotive professional background preferred. Admitted to practice law in Canada is desired. Must have the ability to juggle many different legal areas and projects and to prioritize tasks, while planning and accomplishing objectives in a timely manner and remaining flexible to respond to the changing requirements of the business. Must have excellent judgment to resolve complex issues efficiently and effectively, as well as demonstrate strong organizational skills, attention to detail and verbal and writing skills. Must have the interest, passion and energy to learn more about the business, the people, the retailer network and the company’s products and services.
