Associate Partner, Corporate Governance The candidate will be working to expand both internal and external sales relationships and helping to expand consulting and product based deliverables. Will be forming and sustaining ongoing relationships with senior client executives to understand their needs and provide them with advisory services and expertise on executive compensation and corporate governance trends and best practices and analyzing client data and proposals (including share requests, say-on-pay, annual incentive plans, and director nominee proposals) to identify sources of concern to shareholders in executive compensation and corporate governance proposals. Analyzing institutional investor ownership for proxy advisory firm influence and summarizing applicable proxy voting guidelines and drafting and/or reviewing applicable incentive plan, proxy proposal and/or CD&A disclosures. Training and supporting clients through ongoing account outreaches, content delivery, and training sessions and developing industry-leading intellectual capital on executive compensation and corporate governance topics. Participating on webinars, panels, and other public forums to communicate the unique intellectual capital and perspective and attend meetings with senior management and/or boards of directors to discuss proxy ballot items.
Qualification and Experience
The candidate should have an Undergraduate degree. A JD degree or MBA degree is preferred. Must have a Mid-career work experience in corporate, legal, or investment community fields. Skills and experience with Microsoft Excel, SEC Edgar, ISS Governance Analytic, proxy advisory firm policies and investor proxy advisory firm policies is needed.
