VP General Counsel Duties: Reporting to the CFO, the General Counsel will lead all legal functions for Conexant’s global operations. Work with the senior management team and be responsible for development of legal policies and controls, business support, corporate governance, and negotiating contractual matters. Structure and manage the company’s internal legal function. Negotiate, write, and execute a wide variety of legal agreements including technology license agreements, confidentiality agreements, and other general business contracts, both domestically and internationally. Provide sound legal advice on all issues affecting the existing and future business, including development of strategies to mitigate exposure to risk and enable business initiatives. Provide training to company and its affiliates on substantive legal topics. Direct and managing all litigation. Manage the company’s intellectual property portfolio. Select, retain and manage outside counsel. Support human resources on employee matters. Ensure strong corporate governance and general legal housekeeping.
Qualification and Experience
Qualifications: J.D. degree with license to practice in California. 7+ years relevant experience, preferably work for both an in-house legal department and a prominent law firm. Demonstrated ability in negotiating technology and intellectual property agreements. Exposure to and/or familiarity with the following areas of law: intellectual property, software licensing, corporate governance and entity management, litigation management, and employment.
