Associate Counsel Duties: The candidate will report to the General Counsel and provide legal support across an array of practice areas, including: business transactions, corporate governance, employment and labor, health care and insurance, licensing and regulatory compliance, intellectual property and technology, risk management, and litigation management. Review, draft, and negotiate a range of agreements, including client agreements, vendor and subcontractor agreements, business associate agreements, confidentiality and nondisclosure agreements, employment agreements, and corporate finance agreements. Research, analyze, and advise on a wide spectrum of legal issues; stay abreast and provide counsel on applicable federal and state laws and developments in such laws. Identify legal risks and provide creative and strategic solutions to protect the company’s interests while not unduly restricting business growth and development. Respond to subpoenas and record requests; perform discovery, as needed; handle and manage legal holds. Complete corporate and regulatory filings, renewals, and reports. Help manage the company’s IP portfolio; assist with protection and enforcement measures. Assist the General Counsel with corporate governance, maintaining corporate records, and preparing for quarterly and special meetings. Assist in developing, maintaining, and updating legal systems and records. Research, develop, and help implement policies and procedures.
Qualification and Experience
Qualifications: J.D. from a top-tier law school and excellent academic credentials. Current active membership in the State Bar of California. 1-3 years of relevant experience at a law firm or corporation; in-house and/or health law experience a plus. Exceptional writing, analytical, and verbal communication skills.
