Vice President - Corporate Secretarial Officer The candidate will report to the Executive Director/ Deputy Head of the Office of the Secretary, Asia Pacific, and provide corporate secretarial services and support to businesses and overseas subsidiaries across Asia Pacific. Will provide corporate secretarial services and support to the Bank's businesses and overseas subsidiaries globally, with particular cover for companies incorporated in Hong Kong or offshore (BVI, Cayman Island, Mauritius) but used by Hong Kong businesses and other Asian locations. Develop best practice standards and control framework for the Group. Assist in coordinating compilation of Governance handbook. Organize board and/ or committee meetings and minutes taking as well as written approval of the Board and / or shareholder(s) where required. Maintain corporate records and internal databases. Ensure compliance with all relevant statutory and regulatory requirements of and for the entities under administration (e.g. statutory and regulatory application / filing in relation to corporate changes). Work on various projects covering Asia and liaising with global locations. Co-ordinate with counterparts in other Asian locations on requests relating to corporate governance / secretarial matters.
Qualification and Experience
The candidate should be a Degree holder with professional qualification such as a Legal qualification or Associate member of ICSA. Must have 10+ years of relevant experience. Should have sound knowledge of corporate / company laws in various jurisdictions including in particular, Hong Kong, BVI, Cayman Islands and Mauritius. Practical knowledge of corporate governance and regulatory framework governing financial services businesses is needed. Excellent written communication skills in English is imperative. Reading and writing skills in Mandarin an advantage.
