General Counsel Duties: Reporting to the Chairman and CEO, will be responsible for all legal and compliance matters of the holding company and its operating businesses. Display strong business acumen, decision making skills and confidence. Support the company’s strategy and business philosophy. Structures and manages the company’s internal legal function and staff. Oversees the selection, retention, management and evaluation of outside counsel. Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Assumes ultimate responsibility for ensuring that all holding companies conduct business in compliance with applicable laws and regulations. Manages the contract function across all companies and negotiates critical contract terms. Provides senior management with effective advice and execution on company strategies, complex business issues and legal structures. Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Manage all company litigation.
Qualification and Experience
Requirements: J.D. Degree from ABA-accredited Law School 15+ years of broad based legal experience; with a combination of a major law firm and in house counsel experience with broad, substantive experience in mergers and acquisitions, business, contract, employment and tax law. Experience in a private equity company, investment bank or hedge fund is a plus. Law firm only experience will also be considered, if it is experience gained at a small to midsize law firm delivering a broad range of services to clients. Litigation experience a plus. Management experience required.
