Senior Securities Counsel Duties: Assist and collaborate with the VP & Corporate Secretary to provide advice and support regarding securities and corporate financing matters and compliance with all applicable reporting and stock exchange requirements, including preparing and submitting SEC filings, proxy statements and annual shareholder meeting materials as required by law. Provide support with earnings releases, analyst and investor conferences and disclosure matters. Support the VP & Corporate Secretary in corporate governance matters, by providing guidance on board and committee governance, assisting with drafting board and committee meeting materials, reviewing and revising corporate governance documents and corporate policies and global subsidiary management. Assist in the preparation, coordinate legal input, and provide legal support for current and periodic reports filed with the SEC, including Form 10-K, Form 10-Q, Form 8-K, and Forms 3, 4 and 5. Responsible for the preparation of the proxy statement. Provide legal support for corporate financing transactions. Perform research and analysis in order to provide support and advice to internal clients such as Finance, Investor Relations, Accounting, Treasury and Corporate Communications. Draft, update, and maintain corporate records in order to ensure accordance with applicable law and sound business practice. Provide oversight management for subsidiary entities on a global basis. Monitor compliance with NYSE listing requirements as they relate to governance practices and related disclosures (e.g., disclosures to NYSE regarding significant corporate events, equity plan approvals and notifications, press release policies, etc.). Support the VP & Corporate Secretary in ensuring that Board members have the proper advice and resources for discharging their fiduciary duties to shareholders under state, federal and Irish laws. Monitor corporate governance developments and assist the VP & Corporate Secretary and the Board in tailoring governance practices to meet the Board's needs and investor expectations. Stay abreast of U.S. and Ireland laws in order to help ensure compliance. Interface with all levels of professionals including senior and high level executives and outside counsel as needed. Perform other duties as assigned by the VP & Corporate Secretary. Reports directly to the Vice President & Corporate Secretary and has no direct reports.
Qualification and Experience
Requirements: J.D. Degree and admission to a state Bar. 7 years of experience in SEC and financing as well as public company compliance and corporate governance. Knowledge of corporate and securities law. Experience with pharmaceutical companies a plus. Must have a high level of integrity and professionalism. Ability to maintain a high level of discretion. Strong interpersonal skills with the ability to effectively work in a team environment to resolve complex matters. Strong prioritization skills in order to effectively manage workload. Excellent analytical and strategic thinking skills. Ability to make sound decisions with a global perspective. Exceptional written and verbal communication skills. Customer focused and ability to interact with all levels of the organization. Proficient in Microsoft Office (primarily Word, Excel, and PowerPoint).
